1. About these terms
These Terms & Conditions govern your use of wenyioa.com and any quotation, sample order or purchase made through it. The site is operated by Dongguan Guanzhi Furniture Co., Ltd. (“Wenyi”). By using the site or submitting an inquiry you agree to these terms.
2. Product information
We aim to describe products, materials, dimensions and certifications accurately. Dimensions are nominal and may vary within the tolerance stated on the product page or drawing. Colours may appear differently depending on your screen. Product images are for illustration; the final specification is the one confirmed in your quotation or approved sample.
3. Prices and quotations
- Prices shown on the website, where published, are indicative FOB prices in US dollars and are exclusive of freight, insurance, duties, taxes and any destination charges unless expressly stated.
- Quotations are valid for the period stated on the quotation (normally 30 days for FOB and 7–15 days for DDP prices) and are subject to stock, raw-material and tariff changes.
- Where tariffs, duties or freight rates change materially before shipment, we may revise the affected quotation.
4. Orders and payment
- An order is accepted when we issue a proforma invoice (PI) and receive the agreed deposit.
- Standard payment terms are 30% deposit and 70% against the bill of lading copy, unless otherwise agreed in writing. Letters of credit and other terms can be arranged for qualified buyers.
- Goods remain our property until full payment is received where retention of title is permitted by applicable law.
5. Lead time and delivery
Lead times are estimates and run from receipt of deposit and approval of final specifications, drawings or samples. Delivery terms are governed by the Incoterm stated on the PI. See Shipping & Delivery for details.
6. Custom and OEM/ODM orders
Custom, OEM and project orders are made to your specification. You are responsible for ensuring that designs, logos and specifications you supply do not infringe third-party rights. Custom orders are non-cancellable once production has started and non-returnable except for defects.
7. Warranty
Products carry the warranty stated on the product page or quotation — typically 8 years structural, 5 years mechanism and 2 years gas lift for seating. The warranty covers manufacturing defects under normal commercial use and excludes fair wear and tear, misuse, unauthorised modification and damage in transit after risk has passed.
8. Limitation of liability
To the maximum extent permitted by law, our liability for any claim is limited to the invoice value of the affected goods. We are not liable for indirect or consequential loss, including loss of profit, business interruption or installation costs. Nothing in these terms excludes liability that cannot be excluded by law.
9. Intellectual property
The site, its content, images and the Wenyi name and logo are owned by or licensed to us and may not be copied or used commercially without written permission.
10. Governing law
These terms are governed by the laws of the People’s Republic of China. Disputes will first be addressed through good-faith negotiation; failing that, they will be submitted to the competent court in Dongguan, Guangdong, unless mandatory consumer-protection law provides otherwise.
